Kristin Goodale joined The Boon Group, Inc. as General Counsel in July 1999.  Ms. Goodale serves as the Corporate Secretary of The Boon Group, Inc. and Foundation Benefits Administrators, Inc. (FBA).  She is the senior executive responsible for all legal affairs of The Boon Group subsidiaries and FBA.  Ms. Goodale's responsibilities include all legal matters of a general corporate nature, reviewing and negotiating contracts and agreements; managing outside legal counsel; advising senior management on a wide range of business, labor and employment, and regulatory issues including ERISA, COBRA, HIPAA and state insurance laws and regulations; preparing and/or reviewing documents and printed materials related to products and plans; interfacing with insurers on regulatory matters as they pertain to policies administered by CEBA® and FBA, as well as interfacing with the Department of Labor, the state Departments of Insurance, and Medicare Secondary Payor entities; preparing custom plan documents and Summary Plan Descriptions for self-funded plans, as well as all HIPAA compliant policies and procedures for such funds; developing Trust documents and Administrative Service Agreements; serving as the HIPAA Privacy and Security Officer; and, maintaining licenses on a nationwide basis for all The Boon Group entities, FBA, and all personnel whose activities require licenses as well as tracking licenses for independent brokers. 

Prior to joining The Boon Group, Inc., Ms. Goodale (formerly Kristin K. Proctor) was an experienced litigator and appellate attorney in private practice in Austin, Texas.  She was also a known author and speaker for The Texas State Bar Continuing Legal Education Department.  Ms. Goodale graduated with honors in 1980 with a Bachelor of Arts degree from Austin College in Sherman, Texas and graduated with honors from The University of Texas School of Law in 1991, where she was named to the National Order of Barristers.  Ms. Goodale is a member of the Association of Corporate Counsel, the American Bar Association, the Texas State Bar Association, the Travis County Bar Association.  In 1995, after practicing for less than 5 years, Ms. Goodale received an AV rating by Martindale Hubbell
